Membership Terms

1. Introduction

Welcome to "Nanie", and welcome to becoming a Nanie member!

The Nanie Membership Terms (this "Agreement") are the legal agreement between you and Nanie regarding the membership services provided in "Nanie" (collectively, the "Membership").

Nanie has highlighted in bold the terms of this Agreement that are, or may be, of material importance to your rights and interests (including terms that exempt Nanie from liability, terms that limit your rights, and the agreed dispute resolution and jurisdiction terms). Please read them carefully. You should use the Membership only after you have fully read and clearly understood the bolded terms.

In line with changes in laws, regulations, regulatory policies and industry standards, the rapid development of the internet and its operational needs, Nanie may modify, replace or upgrade the Nanie software and services, and will announce such changes to users in advance (including but not limited to by pop-up notices, website announcements, system messages and emails). Nanie will also amend the relevant agreements and rules accordingly to cover all rights and obligations between you and Nanie. The amended agreements and rules take effect when the announcement period ends. If you do not agree to or accept the modification, replacement or upgrade of the Nanie software or services, you may refuse, stop or cancel your use of Nanie. If you continue to use Nanie, you are deemed to be aware of and to accept the changes.

If you are under 18, please read this Agreement together with your legal guardian.

2. How to Obtain the Membership

(1) How to become a member:

You can activate the Membership after paying the applicable fee through the methods designated by Nanie, including but not limited to Apple payment, Alipay, WeChat Pay, redemption with Coins, and any other methods Nanie may designate in the future. The membership price may vary depending on the version of the software you use; the amount shown when you activate the Membership applies.

(2) You may not activate or obtain the Membership for yourself or others in any of the following ways:

a. for profit, business or any other purpose other than personal use;

b. by means of any robot, spider, crawler, screen-flooding software or any other program, script or software;

c. by any improper means or in breach of the principle of good faith (such as exploiting loopholes in the rules or the system, black-market activity or speculation);

d. by using technical means to modify the membership term, amount spent, transaction status or similar information;

e. through any channel not designated by Nanie;

f. by infringing the lawful rights and interests of Nanie or others;

g. by any other means that violate applicable laws, administrative regulations or national policies.

If you violate the above, Nanie may, depending on the circumstances, modify, restrict, suspend or terminate all or part of your Membership without any compensation or refund of fees or membership points.

(3) You must join the Membership through the methods designated by Nanie and must read, confirm and comply with the relevant agreements and instructions. The information you provide when applying for the Membership must be true and valid, and please update your registered details promptly when your personal information changes.

a. Once you become a member, you can enjoy a range of exclusive member privileges and value-added services. The validity period starts from the time the Membership is activated, and you can check it on the Nanie "Me" → "Membership" page.

b. Before your Membership expires, Nanie will remind you that it is about to expire through in-app messages, system messages or other means. You can extend the Membership by purchasing it again or through auto-renewal. If your Membership expires and is not extended, Nanie will stop providing the Membership.

(4) You acknowledge and agree that the Membership is an online and virtual product that is paid for before it is provided. The membership fee is the price of the online product corresponding to the Membership you purchase; it is not a prepayment, deposit, down payment, stored-value card or anything of a similar nature. Once activated, the Membership cannot be transferred or refunded, except where Nanie is in breach (for example, a material defect in the Membership makes it completely unusable), where this Agreement provides otherwise, where a refund is required by laws and regulations, or where you contact Nanie customer service and Nanie decides that a refund is appropriate. If you do not accept the Membership, you can stop using it or stop renewing it. For payments made through an app store (such as the Apple App Store), refunds are subject to that app store's rules.

3. Nanie's Obligations

While providing members with exclusive privileges and value-added services, Nanie will do its best to keep the Membership stable, and will provide technical and customer support for this purpose, including but not limited to:

(1) online customer service for questions about registration, login, purchase, redemption and similar matters that arise while you activate or receive the Membership;

(2) active and effective content and technical support for the Membership, including day-to-day operation, maintenance, fixes and updates;

(3) answers to frequently asked questions and explanations of the basic rules while the Membership is provided;

(4) management and monitoring of the programs and data related to the Membership, to keep it stable;

(5) its best efforts to protect the servers and technical equipment of the Membership against malicious attacks, to safeguard your lawful interests;

(6) other technology and/or services Nanie provides to you.

4. Member Rules

(1) As a member, you enjoy exclusive member privileges, which you can view on the [Me - Membership] page. In addition, to improve your experience, Nanie also provides complimentary value-added services free of charge; for details of these services, please refer to the relevant information on the [Activate - Member Benefits] page. If the name of a member privilege in this Agreement differs from the description on the page, this does not affect the member benefits you actually enjoy.

(2) Please provide true and valid information when you fill in your registration details to apply for the Membership.

(3) You may not register for the Membership by selling, transferring, misappropriating or renting another user's account, or enjoy the Membership by selling, transferring, misappropriating, lending or renting another member's account.

(4) You understand and agree that, due to copyright contract restrictions or operational needs, Nanie may offer certain content or services as separately charged value-added services that are not included in the Membership, as shown on the relevant page.

(5) You understand and agree that Nanie may adjust the complimentary value-added services at any time based on its overall service planning and changes in its operating strategy.

(6) If you violate this Agreement or any Nanie service terms, Nanie may take one or more of the following measures:

a. use technical means to delete, block or disconnect the relevant information;

b. modify, restrict, suspend or terminate all or part of the Membership;

c. collect liquidated damages and offset against them any fees, points or benefits you have paid for but not used; if the liquidated damages are insufficient to cover the loss, require you to compensate for the remaining loss.

(7) When using the Membership, you must comply with laws, regulations and other normative documents, including but not limited to the Law of the People's Republic of China on Guarding State Secrets, the Copyright Law of the People's Republic of China, the Regulations of the People's Republic of China on the Security Protection of Computer Information Systems, the Regulations on the Protection of Computer Software, the Provisions on the Administration of Internet Electronic Bulletin Services, the Cybersecurity Law of the People's Republic of China and the Regulations on the Protection of the Right to Network Dissemination of Information. You must observe public order and respect social morality, must not endanger network security, and must not use the network to engage in activities that endanger national security, honor or interests, incite subversion of state power or the overthrow of the socialist system, incite secession or undermine national unity, promote terrorism or extremism, promote ethnic hatred or ethnic discrimination, spread violent, obscene or pornographic information, fabricate or spread false information that disrupts economic or social order, or infringe the reputation, privacy, intellectual property or other lawful rights and interests of others. In any case, once Nanie reasonably believes that you have engaged in any of the above, it may stop providing the Membership to you without prior notice.

(8) You are responsible for properly and correctly keeping, using and maintaining your member information, account information and account password, and for taking necessary and effective measures to keep your account information and password confidential. To protect account security and prevent account theft, Nanie may from time to time or periodically verify the identity of the account user by one or more methods (such as an email verification code). If verification is not passed, Nanie has reasonable grounds to suspect that the account is not secure (for example, that it has been stolen), and may decide, depending on the severity, whether to stop providing the Membership to that account and/or take further measures.

5. Coins, Vouchers, Points and Activities

(1) Coins are virtual items provided by Nanie for redeeming the Membership and other value-added services in Nanie. Coins are not currency and do not have the attributes of legal tender. Coins are credited immediately after a successful top-up and remain valid for as long as your account exists.

(2) Once topped up, Coins cannot be refunded, withdrawn, transferred or given to others, and may not be used to buy lottery tickets or to place bets of any kind, unless laws and regulations provide otherwise. For payments made through an app store (such as the Apple App Store), refunds are subject to that app store's rules.

(3) The discount vouchers, analysis vouchers and other vouchers in your Vouchers, and the points you earn through check-ins, activities and the like, are promotional benefits provided by Nanie. They cannot be exchanged for cash or transferred. How they are obtained, where they can be used and how long they are valid are as shown on the relevant page or in the applicable rules, and any that are not used before they expire become void automatically.

(4) Check-in prize draws, points redemptions, referral rewards and other activities run by Nanie are governed by the applicable activity rules. Nanie may deduct or reclaim any Coins, vouchers, points or activity rewards obtained by improper means.

(5) All of the above activities are run independently by Nanie. Apple Inc. is not a sponsor of these activities and is not involved in them in any way.

6. Privacy Protection

You understand and agree that Nanie will process and protect your personal information in accordance with the Nanie Privacy Policy.

7. Notices and Announcements about the Membership

Notices and announcements about the Membership will be published to members in one or more of the following ways:

(1) in-app messages or system messages in the Nanie app;

(2) the email address you have provided;

(3) push notifications sent to you by Nanie.

8. Suspension or Termination of the Membership

Nanie may suspend or terminate the Membership in any of the following circumstances:

(1) you suspend or terminate it yourself, including but not limited to not renewing it when it expires;

(2) you have, or Nanie independently determines that you have, engaged in any conduct that violates national laws, regulations or regulatory policies, violates this Agreement or the Nanie terms of service, or affects or may affect the reputation or interests of Nanie and/or its affiliates;

(3) as required by laws, regulations or regulatory policies, or by competent authorities;

(4) in emergencies, to protect account and system security;

(5) force majeure (objective circumstances that are unforeseeable, unavoidable and insurmountable, including national laws, regulations and policies, orders of state authorities and other government actions, and events such as typhoons, floods, earthquakes, tsunamis, wars and strikes);

(6) other circumstances that Nanie cannot resist.

In the event of such suspension or termination, you accept the following:

(1) upon termination, member benefits that have been generated but not used are cleared automatically and will not be converted into cash;

(2) unless laws and regulations provide otherwise or Nanie states otherwise, membership fees already collected will not be refunded;

(3) if you have a transaction in progress in Nanie, Nanie will handle it reasonably as the circumstances require;

(4) if the termination results from your breach of this Agreement, Nanie may, as appropriate, require you to bear the corresponding liability for breach;

(5) unless laws and regulations provide otherwise or Nanie states otherwise, Nanie bears no liability to you or any third party.

9. Governing Law and Jurisdiction

The interpretation, validity and dispute resolution of this Agreement are governed by the laws and regulations of the mainland of the People's Republic of China.

This Agreement is concluded in Chengzhong District, Liuzhou, Guangxi Zhuang Autonomous Region, People's Republic of China. If any dispute arises between you and the Company in connection with this Agreement, both parties shall first try to resolve it through friendly negotiation; if negotiation fails, you agree to submit the dispute to the people's court with jurisdiction over the place where this Agreement is concluded.

This Agreement is published in Chinese and English. If there is any inconsistency between the two versions, the Chinese version prevails.
